  • Transaction Counsel for the financing of USD 1.6 Billion 1320 MW Thermal Power Plant Project at Payra, Patuakhali, Bangladesh owned by BANGLADESH-CHINA POWER COMPANY (PRIVATE) LIMITED, which is the largest investment of China in the power sector in Bangladesh.
  • Transaction counsel for the financing of USD 1.6 Billion 1320 MW Maitree Super Thermal Power Plant Project owned by BPDB (Bangladesh) and NTPC (India) at Rampal, Bagherhat.
  • Project Counsel for the financing of LNG Terminal at Kutubdia, Cox’s Bazaar.
  • Borrower’s lead counsel in 250 million financing of Shirajganj (Unit 3) 225 MW Combined Cycle power plant project.
  • Counsel for Respondents in International Commercial Mediation related to civil construction project.
  • Advised the North-West Power Generation Company Ltd on financing of 225 MW (unit 2) gas based combined cycle power plant project.
  • Advised Ashuganj Power Station Company Limited, the second largest power generation company in Bangladesh on ECA financing of approximately USD 636 million for construction of 225 MW and 450 MW gas based combined cycle power plant projects.
  • Advising Gramenphone Ltd, the largest mobile network operator in Bangladesh as panel adviser on matters of trademarks, patents, telecommunications contracts, disputes resolution and labour law issues.
  • Advised BRP Bizzozero & Partners SA, Switzerland in preparing country regulatory template for Bangladesh on Banking and Finance law.
  • Advised Jardine Lloyd Thompson Private Limited, Singapore on doing insurance business in Bangladesh.
  • Advised a European consortium in the bidding process of a 300-450 MW gas based combined cycle powered plant construction project under the largest power generation company in Bangladesh.
  • Advised the Dhaka Stock Exchange on its Demutualization and corporate re-structuring (updating relevant securities laws in the process).
  • Successfully defended the Dhaka Stock Exchange in several writ petitions challenging the recent changes in securities law empowering the Securities and Exchange Commission to make changes to the board of directors of publicly listed companies before the Supreme Court of Bangladesh.
  • Advised the Bangladesh Petroleum Corporation as borrower of USD 200 million syndicated loan financing from 27 international commercial banks with Interest Rate Swap and sovereign guarantee arrangements.
  • Advised and argued for Tullow Oil (BD) Ltd. in a USD 118 million tax matter against the National Board of Revenue.

Experience Summary:

  • Adnan has substantial experience in advising Large project financing in Bangladesh, specially in the energy sector. He has been transaction counsel in most of the mega power plants in the country undertaken in the last few years.
  • Adnan has practiced in corporate and commercial litigation and arbitration, banking and finance advisory work, companies and securities law, public and administrative law, admiralty, shipping matters and taxation for 8 years. Before establishing this firm, Adnan practiced as member and managing counsel of the Dhaka Annex of Temple Court Chambers, London for two years. He began his practice as a pupil and then as an associate of Dr. M. Zahir - an authority on company law in Bangladesh.
  • He has substantial legislative drafting experience. He drafted the proposed Admiralty Rules of the Supreme Court of Bangladesh. He was also one of the counsels on the privatization of the Bangladesh Telegraph and Telephone Board (BTTB) and drafted the Bangladesh Telecom Company Ltd Ordinance, 2008. He is legal adviser to the Bangladesh Medical and Dental Council, the regulatory body for doctors and dentists in Bangladesh and a counsel on the panel of lawyers of GrameenPhone Limited, a Telenor group concern and the largest telecom company in Bangladesh. Recently he drafted the Bangladesh Medical and Dental Council Regulations 2012 for the Council. Currently he is drafting the Exchanges (Demutualization) Bill, 2012 for the Dhaka Stock Exchange.
  • Adnan has published articles on securities law, international trade law (particularly, documentary credits), constitutional law and admiralty law. Outside of his work as a lawyer, he has been chief executive of the Environmental Development Foundation, a non-profit organization dedicated to preservation of the environment. He was the lead programmer in the team that designed the first ever 3D computer game produced in Bangladesh.
